Access to and use of www.Lenzr.com, the “Site” is subject to the following terms and conditions (the “Terms of Use”) which by accessing and browsing you, the “User”, accept without limitation. If you do not agree with these Terms of Use, your sole recourse is to leave the Site immediately.
These terms define a “Contest” on www.Lenzr.com, also known as the “Site” in which Users may register a profile and upload a photo for a chance at winning a "Prize". Site “Admin” governs the operation of Lenzr.com and hosts the Contest and “Sponsor” and "Prize".
CONTEST is intended for viewing and participation in Canada only (excluding Quebec) and shall be construed and evaluated according to the laws of Ontario, Canada. By uploading an image you agree that you are the sole copyright holder of the uploaded image and that its use shall be governed by the following terms and conditions.
Please do not enter if you are not a legal resident of, and not located in, Canada (excluding Quebec) at time of entry. Void Where Prohibited By Law. No Purchase Necessary.
CONTEST PERIOD: This is approximately sixty day period as defined in the contest rules. For example Contest Cycle #2 is listed as starting Sept 1, 2009 at 12:01:00 AM Eastern Standard Time (EST) and ending October 31, 2009 at 11:59:59 PM EST
ELIGIBILITY: To enter and be eligible to win, Entrants must be a legal resident of Canada (excluding Quebec), thirteen (13) years of age or older as of the Contest start date. Persons in any of the following categories are NOT eligible to participate or win prizes: (a) any person who, at any time on or after August 31, 2009, was or is a director, officer, or full time employee of Lenzr.com.
HOW TO ENTER: Enter at www.lenzr.com (the "Site"), read and accept these Contest Rules and follow the instructions to register. For the purposes of these Contest Rules, any eligible person who registers in the Contest is defined as an entrant ("Entrant").
UPLOAD A PHOTO: By uploading images to the Site, you, the Entrant declare that you are the sole owner of this “Content”. You retain all ownership rights to the submitted content. This material is governed by a Creative Commons license, which is defined below.
CREATIVE COMMONS: Lenzr does not claim ownership of any Content that you publish in any Contest. However, when you publish your Content on Lenzr, you grant the Site Admin a temporary license to “rebroadcast” it. Lenzr.com needs this license to be able to show your Content to other members and visitors on Site and off Site as the Content may appear on the Lenzr blog widgets, and other automated Site feed delivery systems.
By publishing Content on the Site you grant Lenzr.com a world-wide, royalty-free, and non-exclusive license to reproduce, modify, distribute, transmit, publicly perform and publicly display the Content (as well as permit others - including without limitation Lenzr’s co-brands, content and syndication partners - to do the same) solely for the purposes of advertising and marketing the Contest and Lenzr.com, and Contest Sponsor
COPYRIGHT INFRINGEMENT
With a Creative Commons license, you keep the copyright on submitted material, but allow other users to copy and distribute your work with the understanding that 1) they do not profit from your work, and 2) they give you credit, and replicate your Site username and or hyperlink to your Site profile page.
Users may not post, modify, distribute, or reproduce in any way any copyrighted material belonging to others without obtaining their prior written consent. If you believe that your work has been copied and posted on Lenzr in a way that constitutes copyright infringement, please contact Site Admin as soon as possible.
After receipt of proper notice of copyright infringement the Lenzr.com Site Admin will remove or disable access to the allegedly infringing material and notify the site owner via email or private message. Lenzr may, in appropriate circumstances and at its discretion, terminate the accounts of users who may be repeat infringers. Site Admin reserves the right to terminate your use of Lenzr at any time and remove any infringing Content if you infringe the copyright rights of others.
PRIZES: Prizes are not transferable or redeemable for cash and must be accepted as awarded, with no substitutions of any kind, except by the Sponsor, who reserves the right to substitute a prize (or portion thereof) of comparable or greater value, at its sole discretion. Taxes, if any, as well as any other costs and expenses associated with prize acceptance and uses not specified herein are the Winners' responsibility. All prize details are at the Sponsor's sole discretion.
HOW TO CLAIM YOUR PRIZE: In order to be eligible to win a prize, Potential Winners, or if a Potential Winner is under the age of majority, his/her parent or legal guardian, must first correctly answer, without mechanical aid and assistance, a mathematical skill-testing question that will be administered by email. All Winners will be contacted using the email on their profiles at that time. The Prize will then be mailed to each verified Winner's address, unless other arrangements have been advertised in the Contest description. In any event, the Winner will be contacted by email with instructions on how to claim the prize. If a Winner or Potential Winner is found to be ineligible, or not in compliance with these Contest Rules, or declines to accept a prize, of if Sponsor is unable to contact a Potential Winner within a reasonable period (50 days), or in the event that a prize notification or prize is returned undeliverable, the prize will be forfeited and, at the Sponsor's sole discretion, prize may be awarded to the 2nd ranked photograph. Potential Winners will be required to furnish proof of identification. Before being declared a Potential Winner, or, if the Potential Winner is under the age of majority, his/her parent or legal guardian will be required to execute and return a Declaration and Complete Release and Waiver form ("Release") within seven (7) business days from the time it is postmarked as having been sent by the Sponsor or its representative, or the prize will be forfeited.
PRIZE WINNERS: By accepting a prize, each Winner consents to the use of his/her name, address (city and province/territory of residence), voice, and statements relating to the Contest or Sponsor, and photographs or other likenesses, without further compensation, notification or permission in any publicity or advertising carried out by Sponsor or any related entities in any and all media now known or hereinafter developed without territorial or time limitation, except where prohibited by law. Lenzr.com shall not be held responsible for any delays in awarding prizes for any reason outside of their control. Prizes will only be delivered to verified Winners.
CONDITIONS OF ENTRY: By entering, entrants (i) acknowledge compliance with these Contest Rules including all eligibility requirements and, (ii) agree to be bound by the decisions of the Lenzr Site Admin, and or the Contest Sponsor, made in their sole discretion which shall be final and binding in all matters relating to this Contest. Entrants who have not complied with these Contest Rules are subject to disqualification and all associated entries and points will be void.
DISQUALIFICATIONS: Lenzr reserves the right to disqualify any entrant's registration in the Contest (and void all associated entries/points, and delete all Content) or entitlement to a prize if, in the sole discretion of Site Admin, it determines or suspects that the entrant has attempted to undermine the legitimate operation of the Contest by cheating, hacking, deception, or other fraudulent, deceptive or unfair playing practices (including any entries generated by script, macro, robotic, programmed, or any other automated means or any other means which subvert the entry process).
IN CASE OF DISPUTE: If a dispute arises regarding who registered on the Site, the entry will be deemed to be submitted by the authorized account holder of the email address provided at time of registration and he/she must comply with these Contest Rules. Authorized account holder is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address.
WAIVERS: As a condition of registering on the site and entering, All Participants agree: (a) to release Contest Sponsors from any and all liability, loss or damages that may result with respect to sponsoring the Contest or the awarding, receipt, possession, and/or use or misuse of any prize or any travel related thereto, (b) that under no circumstances will participants be permitted to obtain awards for, and participants hereby waive all rights to claim punitive, incidental, consequential, or any other damages; (c) all causes of action arising out of or connected with this Contest, or any prize awarded. Disputes shall be resolved through arbitration and without resort to any form of legal action; and (d) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, and in no event will entrants be entitled to receive attorneys' fees and court costs.
CONTEST OPERATION: The Site reserves the right in its sole discretion to cancel, modify or suspend this Contest at any time, if fraud, technical failures, including any network server or hardware failure, viruses, bugs, errors in programming, or any other errors or other causes corrupt the administration, security, integrity or proper play of the Contest or for any other reason at the Site’s sole discretion. In the event of cancellation, the Site reserves the right to select the Winners from among all eligible, non-suspect entries received up to time of such cancellation. In no event will the Site be liable for more than the stated number of prizes available in the prize category in question.
WARRANTIES: Contest Entities (Sponsors and the Site) do not warrant that access to the Contest will be uninterrupted. Contest Entities are not responsible for any problems that may arise, including but not limited to: (a) lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, Web sites, or other connection, availability or accessibility problems arising in connection with or over the course of the Contest; or (b) communications failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions or hardware or software malfunctions, failures or difficulties; or (c) failure of personal computers and/or software and hardware configurations, any technical malfunctions, failures, or difficulties, printing errors, clerical, typographical or other error in connection with the administration of the Contest, the processing of mail or entries, the offering or announcement of any prize or in any prize notification documents; or (d) for any other errors of any kind relating to or in connection with the Contest, whether human, mechanical, clerical, electronic, or technical in nature; or (e) the incorrect or inaccurate capture of information, or the failure to capture any information in connection with the Contest; or (f) damage to a user's system occasioned by participation in this Contest or downloading any information necessary to participate in this Contest.
DISCLOSURES: Any attempt by an Entrant or other individual, to deliberately damage the Site or any website or undermine the legitimate operation of this Contest, including but not limited to any fraudulent claims, is a violation of criminal and civil laws. Should such an attempt be made, Sponsor reserves the right to seek remedies and damages (including attorneys' fees) from any such individual, to the fullest extent permitted by law, including criminal prosecution. Entrant engaging in any of the foregoing activities may be disqualified (and all associated entries will be void) and will forfeit any prize(s) won.
DISCREPANCIES: In the event of any conflict between these Contest Rules and Contest details contained in promotion materials (including but not limited to point of sale, television, and print advertising, promotional packaging, and other promotion media), the details of the Contest as set forth in these Contest Rules shall prevail.
All issues and questions concerning the construction, validity, interpretation and enforceability of these Contest Rules, or the rights and obligations of entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the substantive laws of the Province of Ontario, without regard to Ontario or any other conflicts of law principles. All entrants consent to the jurisdiction and venue of Ontario.
The invalidity or unenforceability of any provision of these Contest Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Contest Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In particular, Sponsor's employees are not authorized to waive, modify or amend any provision or provisions of these Contest Rules in any manner whatsoever.
This Contest is subject to all Federal, Provincial/Territorial, and Municipal laws.
Personal information collected from Entrants will be used by the Sponsor for the purpose of administering this Contest.
